1 Contract:
A contract is a legally enforceable agreement between two parties. Each party to a contract makes a promise to either perform a certain duty or pay a certain amount. If one party fails to act as promised, and the other party has fulfilled the duties under the contract, the other party is entitled to legal relief.

2 Breach of Contract:
A breach of contract is a failure to fulfill the duties under the contract terms. A contract can be breached in the following ways:

3 Governing Law:
This Agreement shall be governed by, and construed in accordance with, the laws of the State of Massachusetts as they apply to agreements entered into and to be performed entirely within Massachusetts without regard to conflict of law provisions.
(a) regardless of the laws that might otherwise govern under applicable principles of conflicts of laws thereof or
(b) applicable to agreements made and to be performed solely therein, without giving effect to principles of conflicts of law or
(c) without giving effect to any choice or conflict of Law provision or rule (whether of the State of Massachusetts of any other jurisdiction) that would cause the application of the Laws of any jurisdiction other than the State of Massachusetts.

You agree that any claim or dispute you may have against CPAP Discount Store must be resolved by a court located in Worcester County, Massachusetts, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within Worcester County, Massachusetts for the purpose of litigating all such claims or disputes. Any breach of contract will be subject to the terms of the Legal Notice and the Laws of Massachusetts. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall continue in full force and effect.

Any person with an affiliation with a manufacturer or distributor of CPAP equipment or supplies must identify themselves when contacting CPAP Discount Store by phone, verbally, email or by web site. The individual must identify their full legal name and affiliation with which manufacturer or CPAP distributor. Any breach of this policy would be subject to the terms within this agreement. A person contacting CPAP Discount Store by telephone may be asked their full name and if they have any affiliations with a manufacturer or distributor of CPAP equipment or supplies. Any individual who does not disclose their affiliation, will be in breach of contract.

9 Damages for Breach of Contract:
Punitive damages - Courts can force the breaching party to make a payment as a punishment for the breach of contract.

Liquidated damages - The parties agree, at the time they make the contract, that if one party, the buyer and or web site user, breaches the contract, the breaching party should pay a specified sum. This sum shall be no less than ninety thousand dollars paid to CPAP Discount Store unless agreed upon by both parties.

10 Resolution of Disputes:
If a dispute arises between you and CPAP Discount Store, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Hence, you and CPAP Discount Store agree that we will resolve any claim or controversy at law or equity that arises out of this Agreement or our services (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

(a) Law and Forum for Disputes:
- This Agreement shall be governed in all respects by the laws of the State of Massachusetts as they apply to agreements entered into and to be performed entirely within Massachusetts between Massachusetts residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against CPAP Discount Store must be resolved by a court located in Worcester County, Massachusetts, except as otherwise agreed by the parties or as described in the Arbitration Option paragraph below. You agree to submit to the personal jurisdiction of the courts located within Worcester County, Massachusetts for the purpose of litigating all such claims or disputes.

(b) Arbitration Option:
- For any claim (excluding claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute in a cost effective manner through binding non-appearance-based arbitration. In the event a party elects arbitration, they shall initiate such arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

(c) Improperly Filed Claims:
- All claims you bring against CPAP Discount Store must be resolved in accordance with this Resolution of Disputes Section. All claims filed or brought contrary to the Resolution of Disputes Section shall be considered improperly filed. Should you file a claim contrary to the Resolutions of Disputes Section, CPAP Discount Store may recover attorneys fees and costs up to $50,000, provided that CPAP Discount Store has notified you in writing of the improperly filed claim and you have failed to promptly withdraw the claim.

(d) To begin an arbitration proceeding:
-To begin an arbitration proceeding, you must send a request in writing for arbitration and describing your claim to our registered agent at CPAP Discount Store. Send request by registered mail to: CPAP Discount Store, Attn Registered Agent, 7 Richie Road, Douglas, MA 01526. The arbitration will be conducted by a company selected by CPAP Discount Store. You will be notified in writing of the arbitration company selected. The person filing the alternative dispute resolution will be responsible for 100% of the payment for this service.
